TERMS OF BUSINESS FOR RESIDE MEXICO.COM (FOR REAL ESTATE AGENTS)

 

1.        Reside Mexico.com owns the Site together with the technology for the design, presentation and operation of the Site.

 

2.        Billing is monthly by credit card payment, and payment is due in advance. Any other payment means must first be agreed in writing from Reside Mexico.com.

 

3.        The Agent will include the Reside Mexico.com logon in a reasonably prominent position on all advertising, marketing, promotional material, and newspaper/magazine listings and any other print including the Agents own or group web site (creating a functional link to the Site), according to the branding guidelines issued from time to time. Reside Mexico.com may give written exemptions to this co-branding requirement in such a manner and for such a period as we consider appropriate.

 

4.        The Reside Mexico.com trademark and all goodwill in its use will always belong to and remain the property of Reside Mexico.com but to enable the Agent to co-brand their promotional material, We grants to each Agent and all members of the Agent’s group a non-exclusive, non sub-licensable non-transferable license to use the Reside Mexico.com mark in accordance with these Terms and Business and the branding guidelines issued from time to time by Reside Mexico.com, free of royalties while the Agents advertisements continue to be listed on the Site.

 

5.        Reside Mexico.com shall have sole control over and conduct any action it considers to be necessary to protect Reside Mexico.com and each Agent shall provide such assistance as Reside Mexico.com request. 

 

6.        The co-branding requirement is to increase consumer awareness of Reside Mexico.com for the mutual benefit of all Agents and the Reside Mexico.com logo will not seek to dominate the Agent’s own branding but will be complementary to it. The Agent’s trademark will always remain the property of the Agent who grants Reside Mexico.com a non-exclusive royalty free license to display the Agent’s trademark on the Site and on other related material.

 

7.        Reside Mexico.com may require an Agent to remove any or all references to Reside Mexico.com from promotional material where in its sole opinion the material operates to the detriment of Reside Mexico.com and or Agents generally.

 

8.        The Agent will only list properties where they hold the clients instructions and have authorisation to advertise. The Agent shall indemnify and hold Reside Mexico.com harmless in respect of any claim brought against Us in respect of the Agents listed advertisements.

 

9.        The Agent shall be responsible to uploading the particulars of all their properties from all their offices to the Site. The Agent shall monitor and maintain the accuracy and legality of the property particulars listed on the Site to ensure they are the best reasonably attainable. Reside Mexico.com shall be entitled to issue guidelines as to the quality of entries on the Site and to remove any material from the Site where it its opinion the presence of the material is contrary to the Terms of Business, any guidelines issued under these Terms of Business or is prejudicial to Reside Mexico.com or the Agents.

 

10.     The Agent must ensure that it and its personnel only use the Site strictly in accordance with the Terms of Business and must effect and maintain adequate security measures to safeguard the Site from access or use by anyone other than personnel authorised by the Agent. The Agent must notify Reside Mexico.com promptly in writing as soon as they become aware of any unauthorised access to or use of the Site or attempts to do so. Where the Agent has control over a web site it shall take all reasonable steps to prevent the publishing of or linking to any material which may damage the reputation of Reside Mexico.com or its Agents and in particular any material which is defamatory, obscene, illegal or scurrilous.

 

11.     Except as expressly provided in these Terms of Business, all warranties, conditions, undertakings, terms or representations expressed or implied in relation to the Site are hereby excluded to the fullest extent permitted by law. Reside Mexico.com reserves the right to suspend the operation of the Site, in whole or in part, if it reasonably considers it appropriate to do so or as a result of circumstances beyond its control. Except where it is not practicable to do so, Reside Mexico.com will seek to give Agents not less that 7 days’ notice of any proposed suspension.

 

12.     Agents acknowledge that online computer software cannot be guaranteed error free and agree that Reside Mexico.com will not be liable for any errors in the software comprising the Site although we shall use reasonable endeavours to correct any software errors that come to our attention.

 

13.     Notwithstanding anything else in these Terms of Business, Reside Mexico.com will not be liable to any Agent or any member of an Agent’s group for any pure economic loss, loss of profit, loss of business, depletion of goodwill or otherwise, in each case whether direct, indirect or consequential, or any claims for consequential compensation whatsoever (howsoever caused).

 

14.     Reside Mexico.com makes strenuous efforts to ensure the accuracy of the Agency and property/advertised details. However it is the ultimate responsibility of the Agency to check the accuracy of their advertising details.

 

15.     Reside Mexico.com is not held liable for any damages or refund as a result of inaccuracies, whether the error was supplied by the Agency or was introduced by Reside Mexico.com.

 

16.     Reside Mexico.com is not liable for any damages or loss of data relating to use of the website.

 

17.     Reside Mexico.com may refuse or remove a company’s advertising from the Site which is deemed to be unsuitable in our opinion, without notice.

 

18.     Reside Mexico.com may withhold service or remove a company without notice from the Site if payment is not received. The company may be charged interest for any late payments.

 

19.     We reserve the right to change the rates at a month’s notice.

 

20.     There is no set up charges. A minimum 12 month Initial Period applies, and 3 months otice must be given in writing by either the Agent or Reside Mexico.com to terminate this contract. This notice cannot be given during the Initial Period.

 

21.     There is no exclusivity implied, you are free to you other ‘property websites’ as you choose.

 

22.     The Agent will ensure all personal data received via their Reside Mexico advertisement is managed in compliance with the Data Protection Regulations in both Mexico and the United States of America.

 

23.     The Agent will ensure that any advertising details conform to any regulatory provisions relating to the sale, rental or advertising of properties or services.

 

24.     Nothing in these Terms of Business will constitute, or be deemed to constitute a partnership or joint venture between the parties nor constitute or deem to constitute any party an Agent of the other for any purpose.

 

25.     Reside Mexico.com may monitor Agent transactional data and use such data for statistical and analytical purposes. The Agent’s transactional data shall remain confidential to it although such data in an aggregated and non-identifiable format may be published and/or dealt with as Reside Mexico.com may in its absolute discretion decide.

 

26.     Neither the Agent nor any member of the Agent’s group may assign the benefit and/or delegate the burden of these Conditions.
